These terms and conditions ("Agreement") set forth the general terms and conditions of your use of the CoPromote website ("Website" or "Service") and any of its related products and services (collectively, "Services"). This Agreement is legally binding between you ("User", "you" or "your") and CoPromote ("CoPromote", "we", "us" or "our"). By accessing and using the Website and Services, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a business or other legal entity, you represent that you have the authority to bind such entity to this Agreement, in which case the terms "User", "you" or "your" shall refer to such entity. If you do not have such authority, or if you do not agree with the terms of this Agreement, you must not accept this Agreement and may not access and use the Website and Services.

About the Platform

CoPromote is a two-sided marketplace that connects brands and businesses ("Brands") with content creators and influencers ("Creators") for promotional collaboration campaigns ("Collaborations" or "Collabs"). Brands may post Collab listings, and Creators may apply to participate. The Services also include a community directory, user profiles, a Spotlights listing feature, messaging, a karma and reputation system, and an optional Pro membership subscription.

Accounts and membership

You must be at least 18 years of age to use the Website and Services. By using the Website and Services and agreeing to this Agreement, you warrant and represent that you are at least 18 years of age. If you create an account, you are responsible for maintaining the security of your account and are fully responsible for all activities that occur under it. You must provide accurate and complete registration information and keep it current. Providing false contact information may result in termination of your account. You must immediately notify us of any unauthorized use of your account or any security breach. We may suspend, disable, or delete your account if we determine you have violated any provision of this Agreement or if your conduct or content would tend to damage our reputation. If we delete your account for the foregoing reasons, you may not re-register for our Services.

User roles: Brands and Creators

Users may register as a Brand, a Creator, or both. Brands are responsible for the accuracy and completeness of all Collab listings they post, including reward descriptions, deliverable requirements, and fulfillment of promised rewards. Creators are responsible for the content they submit and for fulfilling the deliverables described in any Collaboration they accept. CoPromote is a platform facilitator and is not a party to any agreement between a Brand and a Creator. We do not guarantee that Brands will fulfill reward commitments or that Creators will deliver agreed-upon content, and we are not liable for any disputes arising between Brands and Creators.

Collaborations and reward commitments

Brands may offer rewards to Creators through the platform, including but not limited to cash payments, physical merchandise (fulfilled via integrated third-party services such as Printful), discount codes, karma points, or social media promotion commitments ("Share Rewards"). By posting a Collab with a stated reward, Brands make a commitment to fulfill that reward to Creators whose submissions are approved. Failure to fulfill stated rewards may result in negative reviews, reduced platform standing, or account suspension. CoPromote does not guarantee payment or fulfillment by any Brand and is not responsible for unrealized rewards.

Cash rewards, where applicable, are transacted outside the platform unless otherwise specified. It is the responsibility of both parties to comply with all applicable tax, employment, and contractor laws in connection with any compensation exchanged through Collaborations.

Pro membership and subscriptions

We offer an optional Pro membership subscription that unlocks enhanced features on the platform. Subscriptions are billed on a recurring basis via our third-party payment processor, Stripe. By subscribing, you authorize us to charge the applicable subscription fee to your payment method on each renewal date. You may cancel your subscription at any time through your account settings. Upon cancellation, your Pro access will remain active until the end of the current billing period. Refunds may be issued at our discretion in accordance with our refund policy below.

Billing, payments, and refunds

You shall pay all fees or charges in accordance with the fees and billing terms in effect at the time a charge is due. We use Stripe as our payment processor; your payment information is handled directly by Stripe and is subject to Stripe's privacy policy. We reserve the right to change pricing at any time with reasonable notice. Non-tangible purchases such as Pro memberships are generally non-refundable once access has been granted, except where a 14-day money-back guarantee or other refund right is explicitly offered at the time of purchase. Physical merchandise rewards fulfilled through Printful are governed by Printful's return and fulfillment policies.

User content

We do not own any data, information, or material (collectively, "Content") that you submit on the Website. You retain ownership of your Content and are solely responsible for its accuracy, legality, and appropriateness. By submitting Content, you grant CoPromote a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, publish, and display such Content solely as necessary to provide and promote the Services. We reserve the right to remove any Content that, in our sole discretion, violates this Agreement or is harmful or objectionable.

You may only upload images, videos, or other media that you own or have explicit rights to use. Uploading copyrighted content without authorization may result in account suspension and potential legal liability.

Reviews and reputation

Users may leave reviews for Brands and Creators following the completion of a Collaboration. Reviews must be honest and based on genuine experience. Submitting false, defamatory, or retaliatory reviews is prohibited and may result in removal of the review and suspension of your account. CoPromote reserves the right to moderate reviews but is not obligated to do so.

Karma points

Karma points are a non-monetary reputation metric awarded through the platform for completing Collaborations and community engagement. Karma points have no cash value, are non-transferable, and may not be redeemed for currency. We reserve the right to modify, suspend, or discontinue the karma system at any time.

Spotlights

The Spotlights feature allows users to post listings seeking or offering promotional partnerships. Spotlight listings must be accurate and comply with this Agreement and our Acceptable Use Policy. Access to full Spotlight listing details (including contact information) may be limited to Pro members. CoPromote does not guarantee outcomes from any Spotlight listing.

Communicating with users

The Website provides messaging functionality for communicating with other users. When using messaging on the platform, you are prohibited from sending unsolicited advertising, spam, abusive or harassing content, or messages that violate our Anti-Discrimination Policy. You must not message users who have asked you not to contact them. Violations may result in immediate account suspension.

Third-party services

The Website integrates with third-party services including Stripe (payment processing), Printful (merchandise fulfillment), and Geoapify (location services). Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the practices, content, or actions of any third-party service provider. By using features that rely on these integrations, you consent to your data being shared with these providers as necessary to deliver the service.

Prohibited uses

In addition to the terms set forth in our Acceptable Use Policy, you are prohibited from using the Website and Services: (a) for any unlawful purpose; (b) to misrepresent your identity, follower counts, engagement rates, or brand affiliation; (c) to create fictitious Collab listings or applications with no intent to fulfill obligations; (d) to solicit Creators to transact outside the platform in a manner designed to circumvent platform policies; (e) to harass, defame, or discriminate against any user; (f) to upload malicious code or interfere with platform security; or (g) to scrape, harvest, or systematically collect user data without authorization.

Intellectual property rights

All trademarks, service marks, logos, and platform software associated with CoPromote are the property of CoPromote or its licensors. This Agreement does not transfer any intellectual property rights to you. You may not reproduce, modify, or distribute our proprietary materials without prior written consent.

Disclaimer of warranty

The Services are provided on an "as is" and "as available" basis. We expressly disclaim all warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free of harmful components, or that any Collaboration will result in the intended outcome for either party.

Limitation of liability

To the fullest extent permitted by applicable law, CoPromote, its affiliates, directors, officers, employees, and agents shall not be liable for any indirect, incidental, special, punitive, or consequential damages arising out of or related to your use of the Services, including disputes between Brands and Creators, unfulfilled rewards, or failed Collaborations. Our aggregate liability to you shall not exceed the greater of one dollar ($1.00) or the amounts you have paid to CoPromote in the one-month period prior to the event giving rise to the claim.

Indemnification

You agree to indemnify and hold CoPromote and its affiliates, directors, officers, employees, and agents harmless from and against any liabilities, losses, damages, or costs, including reasonable attorneys' fees, arising from any third-party claims related to your Content, your use of the Services, your Collaboration activities, or any violation of this Agreement.

Dispute resolution

This Agreement shall be governed by the laws of the State of New Hampshire, United States, without regard to its conflict of law provisions. Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in New Hampshire. You hereby waive any right to a jury trial in any proceeding arising out of or related to this Agreement.

Severability

If any provision of this Agreement is found to be illegal, invalid, or unenforceable, the remaining provisions shall continue in full force and effect.

Assignment

You may not assign your rights or obligations under this Agreement without our prior written consent. We may freely assign this Agreement in connection with a merger, acquisition, or sale of assets.

Changes and amendments

We reserve the right to modify this Agreement at any time. We will notify users of material changes by updating the date at the bottom of this page and, where appropriate, by email or in-platform notification. Continued use of the Services after changes are posted constitutes your acceptance of the revised Agreement.

Acceptance of these terms

You acknowledge that you have read this Agreement and agree to all its terms and conditions. By accessing and using the Website and Services you agree to be bound by this Agreement. If you do not agree, you are not authorized to access or use the Website and Services.
